• Welcome, and thank you for your interest in our entertainment software and media dedicated to that software ("hereinafter referred to as “Services").This “End User License Agreement” (hereinafter referred to as “EULA”) is entered into by and between you and DeNA Hong Kong Limited, and this EULA shall have legally binding force.
• Please carefully read and fully understand each clause of this EULA, especially the clauses that limit the rights of yours. It is deemed that you have already read and agreed to sign this EULA, if you click “Agree” or “Accept” button, or register and use our Service.
• If you are under the age of 18 or whatever the age of legal majority where you access our Services, please read this EULA in company with your legal guardian. Only after your legal guardian has already read and agreed to sign this EULA, you can use our Service.

1. DEFINITIONS

• 1.1 EULA, refers to this End User License Agreement, the “Privacy Policy”and the Game Rules as well as its amendments. Each of the above-mentioned documents constitutes an inseparable part of this EULA once being officially published.
• 1.2 DeNA HK, also referred to as “we/us/our” in this EULA, refers to DeNA Hong Kong Limited., which provides you with our Service.
• 1.3 You, also referred to as “player(s)” or “user(s)”, refers to any natural person who is authorized to use Service.
• 1.4 Game, collectively refers to all the games provided by DeNA HK.
• 1.5 Services, refers to all Services provided by DeNA HK to you regarding to our game or our entertainment software and media dedicated to that software.
• 1.6 Game Rules, refer to game’s player regulations, game announcements, notifications, and other contents, which are issued and updated by DeNA HK from time to time.

2. GAME ACCOUNT

• 2.1 If you want to use our Services, you may need to register game account using your email or a third-party account recognized by us. You shall also comply with the agreement and rules regarding the third-party account. You shall contact the third-party to resolve the related problems arising from your use of the third-party account by yourself.
• 2.2 You fully understand and agree that, you shall not transfer your game account or provide your game account to anyone else for use in any manner. Otherwise, you shall be responsible for any legal consequences and liabilities caused by your action, also you will be responsible for all the losses caused thereby.

3. PRIVACY

• 3.1 The privacy of Players is important to DeNA HK. You agree that by accessing our Services you consent to have your personal data transferred to, and processed outside of the country of your residence. Unless otherwise provided in this EULA, the collection, use and protection of your information shall comply with relevant privacy policy issued by DeNA HK.
• 3.2 You fully understand and agree that, based on your information, DeNA HK or third parties in cooperation with us may provide you with various information about promotion information and other information through emails, messages and other ways.

4. LICENSE

• 4.1 Grant. With the exception of third party materials and user-generated materials as addressed below, all content of our Services, including text, photographs, images, graphics, designs, trademarks, audio, video, games, applications, items, fonts, software and files (hereinafter referred to as "DeNA HK Content") is proprietary of DeNA HK and its licensors. DeNA HK hereby grants you a limited, non-exclusive, non-transferrable, non-sublicensable, and revocable license to reproduce and display DeNA HK Content on your device solely for your personal, non-commercial, and entertainment use. Except as permitted by this EULA, you may not copy, modify, translate, distribute, transmit, publish, republish, perform, display, post, download, upload, frame, make available, lend, hire, communicate to the public, adapt, or sell any DeNA HK Content. Any unauthorized use of DeNA HK Content may violate copyright, trademark, patent, trade secret, or other applicable laws and regulations and will result in the termination of this license. Except only as expressly set forth in this EULA, this EULA does not grant to you any license to any intellectual property rights or other proprietary rights.
• 4.2 Compliance with Third-Party Terms. This grant of license is conditional on your compliance with the terms and conditions of use of third parties as may be applicable to your use of our Services, including the terms and conditions of any mobile application storefront/marketplaces of our Services.

5. RULES AND LIMITATION OF LIABILITY

• 5.1 You fully understand and agree that, DeNA HK is entitled to reasonably judge the user’s violation of relevant laws and regulations or the provisions of this EULA, take appropriate legal actions against any illegal and violating user. The user shall be solely responsible for all the legal consequences arising therefrom.
• 5.2 You fully understand and agree that, you shall be solely responsible for any claims, demands or losses claimed by any third-party resulting from your violation of the provisions of this EULA or other related terms of Service; and you shall indemnify DeNA HK for any loss arising therefrom, if any.
• 5.3 You represent that you own or control the device you use to access our Services, and understand that airtime, data, messaging, and other charges from the provider of your device may apply. It is your responsibility to determine whether your device is compatible with our Services. DeNA HK does not make any representations, warranties, or guarantees that our Services will be compatible with, or accessible by, your device.
• 5.4 You fully understand and agree that all game items, game equipment and game currency (hereinafter referred as “Virtual Items”) are provided solely for your personal and entertainment use, they may only be used in our Services, and they have no "real world" value. By purchasing or receiving Virtual Items all that you receive is a limited license to use them in our Services by the terms of this EULA; Virtual Items are not your personal property and no ownership interest in them is transferred to you. Virtual Items may never be redeemed by you for "real world" money, goods, wares, merchandise, Services, or anything of monetary value from us, any of our affiliates, or any other person. Also, Virtual Items and so forth may be expired subject to a certain valid period even if you have never used them within the valid period.
• 5.5 You fully understand and agree that to provide better Service to users, DeNA HK is entitled to make adjustments, updates or optimization to any content or constituent element of the game (including but not limited to making adjustments, updates or optimization, and so forth of the art design, performance and related numerical settings of your purchased or in-use Virtual Items). You agree not to hold DeNA HK accountable for any legal liability arising from the above-mentioned adjustments, updates or optimization.
• 5.6 If you are under the age of 18 or whatever is the age of legal majority where you access our Services, you may make payments only with the involvement of your legal guardian, and you represent that your legal guardian has read, understood, and agreed to this EULA. You expressly consent to the making available of that content immediately upon acceptance of your order. You understand and agree that DeNA HK provides no refunds for any purchases.
• 5.7 In no event shall DeNA HK be liable for any damage suffered by you as a result of force majeure during the use of Service. Such force majeure events include but not limited to laws, regulations, policies of the state, orders from state organs, other governmental acts, or other unforeseeable, unavoidable and insurmountable events, including but not limited to earthquakes, floods, snowstorms, fires, tsunamis, typhoons, strikes, wars and so forth.
• 5.8 The provision of Service by DeNA HK is a normal business activity, for which the user is entitled, at his/her own consideration, to decide whether or not to pay associated fees to obtain the corresponding Service. You acknowledge and agree that changes or adjustments to Virtual Items or price are permitted and you shall not request DeNA HK to indemnify or compensate you for any change or adjustment to the charging items or charging rates.
• 5.9 If the operation of Game is terminated upon DeNA HK’s own decision or for any other reasons, DeNA HK will handle the termination of the game operation in accordance with the relevant provisions or regulations, so as to protect the legitimate rights and interests of the users.
• 5.10 In no event will DeNA HK, or its respective directors, managers, officers, members, employees, agents, successors, or assigns be liable for any indirect, consequential, exemplary, incidental, special or punitive damages, including damages for lost or loss of data, arising out of or resulting from your use of any of our products or Services. To the extent applicable law does not allow the exclusions and limitations and damages as set forth above, some or all of the above exclusions and limitations may not apply to you, in which case DeNA HK’s liability to you will be limited to the fullest extent permitted by applicable law. The limitations and exclusions set forth will survive any termination or expiration of your access to or use of any of our Services.

6. User Conduct

• 6.1 You fully understand and agree that, you shall be responsible for all actions of your game account, including any content you post and the consequences arising therefrom.
• 6.2 Aside from using Service pursuant to this EULA, you shall not engage in any activity that infringes the intellectual property of Service in any activity that is harmful to the legitimate interests of DeNA HK or other third parties.
• 6.3 You represent, warrant, and agree that you will not use our Services in an unlawful, threatening, or harassing manner, or take any action that, in DeNA HK's sole discretion, is considered offensive, libelous, defamatory, immoral, objectionable, or unethical or that is otherwise inconsistent with the standards of the relevant community and good conduct that DeNA HK intends to govern the use of our Services. In addition to the above, you agree not to do including but not limited to the followings: A. inciting hatred or discrimination among religious relief, disrespecting religious customs and practices; B. promoting heresy or superstition; C. advocating obscenity, pornography, gambling, violence, or abetting the commission of a crime; D. infringes, misappropriates, or violates a third party's rights (including intellectual property rights); E. promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; F. is defamatory, obscene, pornographic, vulgar, or offensive; G. promotes illegal or harmful activities or substances (including but not limited to activities that promote or provide instructional information regarding the manufacture or purchase of illegal weapons or illegal substances); H. containing any other content prohibited by any law, administrative rule or national regulation.
• 6.4 Unless permitted by laws or written consent of DeNA HK, you shall not engage in any of the following conducts: A. use, display, mirror, frame, or utilize framing techniques to enclose any content, or any individual element or materials of any content, any name or trademark, logo, or other proprietary information, the content of any text or the layout and design of any page or form contained on a page; B. deleting the copyright information on the game software or its copies; C. reverse engineering, reverse assembling, reverse compiling of the game software, or any other attempts to obtain the software source code; D. scanning, exploring and testing the game software to detect, discover and identify the possible bug or vulnerability therein; E. copying, modifying, adding, deleting, mount-running or creating any derivative work from the game software or the data released to the RAM of any terminal device during the running of the software, or the interactive data between the client terminal and the server terminal during the running of the software, or the system data necessary for the running of the software, in such ways including but not limited to using plug-in, cheating tool or unauthorized third-party tool/service to access the software and related systems; F. modifying or forging any instructions and data during the running of the software, adding, deleting or changing the function or operation result of the software, or operating and propagating relevant software or method which can used to achieve the above-mentioned function, no matter whether or not the above actions are conducted for commercial purpose; G. using, leasing, lending, copying, modifying, linking, forwarding, assembling, publishing, issuing or establishing mirror site of the content in the game;
• 6.5 If you engage in any of the following conducts during your use of Service, DeNA HK is entitled to take punitive measures against you depending on the severity of the circumstance, including temporarily banning the login of the game account (i.e., banning game account), deleting the game account, deleting relevant information and so forth. A. undermining Service or interrupting the normal operation of Service in any way; B. using any illegal cheating tool; C. spreading illegal or inappropriate information; D. stealing other user’s game account and Virtual Items; E. making unauthorized transaction of Virtual Currency and Virtual Items; F. access, tamper with, or use non-public areas of any system, software, or network; G. forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way any Services or content to send altered, deceptive, or false source-identifying information; H. use cheats, exploits, hacks, bots, mods, or third party software designed to gain an advantage, perceived or actual, over other persons, or modify or interfere with any system, software, or network in any way; I. violate any applicable law or regulation;
• 6.6 DeNA HK reserves the right to investigate and take legal action against violators. You acknowledge and agree that, if DeNA HK takes including but not limited as issuing warning, restricting or prohibiting the use of all or part of your game account function, deleting game account and game data, deleting related information, banning game account (hereinafter referred to as “Account Banning”) and canceling game account (for the convenience of description, the punitive measures hereof are sometimes referred to as “Punishment”) measures against your game account pursuant to this EULA, DeNA HK is entitled to determine the duration of the Account Baning based on the severity of your violation.
  You acknowledge and agree that, i. Virtual Currency and Virtual Items of your game account may be unusable during the period of Account Banning; ii. If the aforementioned Virtual Currency and Virtual Items is subject to certain valid period, the valid period may expire during the period of Account Banning, and thus you will not be able to use the expired Virtual Currency and Virtual Items after the expiration of Account Banning period. You hereby agree that you will not pursue any legal liabilities against DeNA HK for the occurrence of any of the aforementioned circumstances.

7. INTELLECTUAL PROPERTY

• 7.1 All copyrights, trademarks, patents, trade secrets and other intellectual properties, along with other legitimate rights and interests of Services as well as all information and contents related to DeNA HK contents are protected by the laws and regulations. DeNA HK owns the aforesaid intellectual property rights and legal rights, except for the rights enjoyed by the relevant right owners in accordance with the laws.
• 7.2 DeNA HK respects the intellectual property rights of others and expects its Players to behave likewise. Accordingly, you may not upload, post, send, or transmit to or through our Services or any materials that violate third party intellectual property rights. For greater certainty, the foregoing is in addition to and without limitation of anything else herein or at law, including DeNA HK's right, in its sole discretion, to cause the suspension, restriction, or termination of access to our Services for Players who infringe any intellectual property rights of ours or of any third party at any time, including those who are repeat infringers for the purposes of applicable law.

8. Third Party Content and Services

• 8.1 Links to Content. Our Services may contain links to third party websites, and content (including without limitation text, photographs, images, graphics, designs, audio, video, games, applications, software, and files) owned by, or originating from, third parties. DeNA HK's inclusion of any linked website or third party content in connection with our Services does not imply approval or endorsement of such website or content by DeNA HK. If you follow a link to a third party website or content, or otherwise access or use such a website or content, you do so solely at your own risk, and DeNA HK's Privacy Policy and other policies and practices do not apply to any information gathered by such third party.
• 8.2 Advertising. DeNA HK takes no responsibility for third party advertisements or third party applications that are posted on or through our Services or goods or Services provided or promoted by any third party through third party advertisements through our Services, nor does it take any responsibility for goods or Services provided by its advertisers.

9. Disputes

• 9.1 With Third Parties. You are solely responsible for your interactions with third parties.
• 9.2 Governing Law. You agree that the regulations of Hongkong, excluding its conflicts of law rules, will govern this EULA and any dispute between you and DeNA HK.
• 9.3 Jurisdiction. You and DeNA HK agree that arbitration shall be conducted in Hong Kong. In the event of any dispute arising between/among the parties out of or in connection with this EULA which cannot be resolved by an amicable settlement between/among the parties, you and DeNA HK agree to submit the dispute to settlement proceedings under the arbitration in Hong Kong in accordance with the rules of Hong Kong International Arbitration Centre. The arbitration award shall be final and binding on the Parties.

10. Miscellaneous

• 10.1 We reserve the right to change this EULA at any time. If we change this EULA in a material way, we will give notice of that in our software, and/or by email to any email address we may have for you at that time. Your use of our Services after we have changed the EULA will indicate your consent to the updated EULA.
• 10.2 You accept this EULA by accessing our Services. This EULA constitutes the entire agreement between you and DeNA HK regarding your use of our Services. If any provision of this EULA is determined to be invalid or unenforceable such provision will be deemed severed from this EULA and the remaining provisions of this EULA will not be affected thereby and will continue to be binding upon you and enforceable.

Deleting a Matching Number

• You may have the option of deleting a Matching Number by performing a dedicated reset or a Device factory reset from the settings of your Device. You understand that by deleting a Matching Number any and all data you had prior to the reset may be lost and irretrievable, and that you may not be able to view or use portions of our Services due to limited functionality.

Push and Local Notifications

• Unless you indicated otherwise at installation or chose not to receive push and local notifications where the option is made available to you, you agree that we may send push and local notifications to your Device concerning updates, events, and special offers for our mobile games and other mobile applications of the Services installed on your Device. Please note that where available you may have the option of deactivating push or local notifications by changing the settings of the game/application or of your Device.
